Terms of Service & Client Agreement

Take the time to read this carefully. This agreement ensures clarity, alignment, and a strong working relationship.

This page outlines responsibilities, policies, and expectations when working together. Please review fully before participating in any program or service.

Responsibility

The Company provides strategic support, advisory services, education, and implementation assistance designed to support clarity, growth, and operational execution. Services may include, but are not limited to, agency support, strategic consulting, training, and participation in founder communities or networks.

You understand and agree that you are solely responsible for your own decisions, actions, implementations, and results. Any outcomes achieved are the result of your own choices and execution.

The Company may offer insights, recommendations, frameworks, perspectives, and strategic guidance based on experience, training, and professional judgment. You retain full discretion to accept, decline, or modify any guidance provided.

By entering into this Agreement, you expressly acknowledge and agree that The Cain Collective LLC is not acting as a licensed investment advisor, real estate agent, accountant, financial advisor, medical professional, mental health professional, or attorney, and that no information provided constitutes legal, medical, financial, or investment advice.

Confidentiality

The Company respects the confidentiality of its Clients and will not disclose your participation in any services, programs, or communities without your express consent, except as required by law or as necessary to provide the agreed-upon services.

You acknowledge that participation in services offered by The Cain Collective LLC may include group environments, collaborative spaces, or shared communications. While the Company maintains confidentiality in its own operations, it cannot guarantee the conduct or confidentiality practices of other participants.

You agree to respect the confidentiality of other Clients, community members, and any non-public information shared within programs, agency relationships, or founder networks, including but not limited to business strategies, financial information, personal experiences, and proprietary materials.

This confidentiality obligation survives the completion or termination of your engagement with The Cain Collective LLC.

Scheduling

All sessions, calls, and meetings are scheduled in advance by mutual agreement or through the Company’s designated scheduling system. If you are unable to attend a scheduled session, you are responsible for providing a minimum of forty-eight (48) hours’ notice to reschedule.

Sessions missed, canceled, or rescheduled with less than forty-eight (48) hours’ notice will be considered forfeited and are not eligible for refund, credit, or rescheduling.

You are responsible for scheduling and rescheduling your own sessions using the approved scheduling link or communication method provided by the Company. Rescheduling is not confirmed until acknowledged by the Company or reflected in the scheduling system.

The Company reserves the right to reschedule sessions when necessary due to availability, emergencies, or unforeseen circumstances. In such cases, reasonable notice will be provided and the session will be rescheduled at no additional cost.

Tasking

From time to time, the Company may assign or recommend tasks, action items, exercises, or implementation steps designed to support progress, clarity, or execution of agreed-upon objectives.

You understand that completion of any tasks or action items is entirely your responsibility, unless otherwise expressly stated in a written agency or implementation agreement. The Company does not guarantee outcomes and is not responsible for results arising from incomplete, delayed, or declined implementation.

Tasks may include strategic planning, operational actions, reflective exercises, or business-related implementation steps. You retain full discretion over whether and how tasks are completed and acknowledge that progress is directly tied to your level of engagement and execution.

Failure to complete assigned or recommended tasks does not constitute a breach of this Agreement and does not entitle you to refunds, credits, or extensions.

Free Email Access

At the Company’s discretion, Clients may have limited email access for brief check-ins, clarification questions, or the sharing of wins related to active services or programs.

Email access is intended for short-form communication and does not replace scheduled sessions, consulting time, or agency support. The Company does not guarantee response times and may respond during normal business hours only.

Requests that require in-depth review, strategy development, implementation, or extended correspondence may be redirected to a scheduled session, additional service, or paid support option.

Email access is offered as a courtesy and may be modified, limited, or discontinued at any time at the Company’s discretion.

Terms & Conditions

The following sections outline the full Client Agreement, Terms & Conditions for participation in programs and services offered by The Cain Collective LLC.

Cancellation & Refund Policy

All purchases, enrollments, retainers, programs, services, and fees paid to The Cain Collective LLC are final and non-refundable. By entering into this Agreement and submitting payment, you acknowledge and agree that no refunds, credits, chargebacks, or partial reimbursements will be issued under any circumstances.

Services, programs, and agency engagements are sold as complete offerings and may not be paused, transferred, downgraded, or partially completed for refund or credit once access has been granted or services have commenced.

If you are enrolled in a payment plan, you are responsible for completing all remaining payments regardless of participation level, usage, attendance, or perceived results.

Failure to submit timely payment may result in:

Immediate suspension or termination of access to services, programs, communities, or support

Revocation of deliverables, access, or ongoing services

Acceleration of any remaining balances due

Any outstanding balances not resolved within thirty (30) days of the original due date may be referred to a third-party collections agency at the Company’s discretion. You agree to be responsible for any reasonable costs associated with the collection of unpaid balances, including collection fees and legal expenses where permitted by law.

By completing payment, you expressly waive any right to dispute or charge back completed or partially rendered services and agree to resolve any billing concerns directly with The Cain Collective LLC in good faith.

Notice of Cancellation

All notices of cancellation, termination, or intent to discontinue services must be submitted in writing via email to [email protected].

A cancellation notice will be deemed effective on the date it is received by The Cain Collective LLC. Verbal requests, direct messages, social media messages, or informal communications do not constitute valid notice.

Cancellation of services does not relieve you of any outstanding payment obligations, including remaining balances on payment plans, and does not entitle you to refunds, credits, or reimbursements.

Failure to attend scheduled sessions, participate in services, or access programs does not constitute cancellation and does not waive payment obligations.

Terms of Coaching

All services offered by The Cain Collective LLC are provided as complete, structured offerings and may include strategic advisory, agency support, education, implementation assistance, and participation in communities, programs, or events.

Services are sold as packaged experiences and may not be altered, subdivided, paused, transferred, or partially completed once access has been granted or services have commenced.

If you are enrolled in services that include a defined term, number of sessions, or duration, any unused services resulting from non-participation, withdrawal, or early termination are not eligible for refund, credit, or transfer.

The Company makes no guarantees regarding outcomes, timelines, or results. You acknowledge that results vary based on individual circumstances, decisions, and execution, and that participation alone does not ensure any specific outcome.

The Company reserves the right to determine the structure, format, delivery method, and scope of services at its sole discretion.

Suspending Membership

Once services, programs, memberships, or access have commenced, suspension or pausing of participation is not permitted, unless expressly stated otherwise in a separate written agreement executed by The Cain Collective LLC.

You acknowledge that temporary or permanent non-participation—including stepping back, taking a break, or choosing not to engage—does not pause billing, extend service timelines, or alter payment obligations.

The Company reserves the right, at its sole discretion, to temporarily suspend access to services, programs, communities, or support in the event of:

Non-payment or failed payment attempts

Violation of these Terms

Disruptive, abusive, or inappropriate conduct

Actions that materially interfere with the experience or operations of the Company or other participants

Any suspension initiated by the Company does not relieve you of outstanding financial obligations and does not entitle you to refunds, credits, or extensions.

Sessions & Support Calls

Any one-on-one or group sessions, strategy calls, advisory calls, or support calls provided by The Cain Collective LLC are offered as part of specific services, programs, or agreements and are not guaranteed unless expressly included in your purchased offering.

Unless otherwise stated in writing, sessions and support calls are initiated and scheduled by the Client using the Company’s designated scheduling system and are subject to availability.

Calls are intended for strategic discussion, guidance, and support only. They do not include implementation, execution, or additional deliverables unless explicitly outlined in a separate agency or service agreement.

Unused calls or sessions do not roll over, transfer, or convert to refunds or credits. Missed or forfeited calls are governed by the Scheduling & Attendance policy outlined in this Agreement.

Payment Plans

If you elect to participate in a payment plan, you agree to pay all amounts due in accordance with the schedule selected at checkout. Payment plans are offered as a convenience and do not alter the total amount owed.

You authorize The Cain Collective LLC to automatically charge the payment method on file for all scheduled installments. It is your responsibility to ensure that payment information remains current and valid.

In the event of a failed payment, declined charge, or non-sufficient funds (NSF), the Company may:

Reattempt the charge automatically

Assess a reasonable late or administrative fee where permitted by law

Temporarily suspend access to services, programs, communities, or support until the account is brought current

Repeated failed payments or unresolved balances may result in termination of access and acceleration of any remaining balance due.

Any outstanding balance not resolved within thirty (30) days of the original due date may be referred to a third-party collections agency at the Company’s discretion. You agree to be responsible for any reasonable costs associated with collection efforts, including collection fees and legal expenses where permitted by law.

Failure to complete a payment plan does not cancel your financial obligation and does not entitle you to refunds, credits, or release from the Agreement.

Privacy Policy

The Cain Collective LLC is committed to protecting your privacy and handling personal information with care, transparency, and integrity.

We collect personal information you voluntarily provide when you enroll in services, purchase products, join programs or communities, schedule sessions, complete forms, or communicate with us. This information may include, but is not limited to, your name, email address, phone number, billing information, and other details necessary to deliver services and operate our business.

Personal information is used solely for legitimate business purposes, including:

Providing and delivering services, programs, and support

Processing payments and managing accounts

Communicating updates, notices, and relevant information

Improving services, systems, and client experience

Complying with legal and regulatory obligations

We do not sell, rent, or trade your personal information. Information may be shared with trusted third-party service providers and subcontractors solely as necessary to support business operations (such as payment processing, scheduling, email delivery, or customer support), and only to the extent required for those services.

No mobile information will be shared with third parties or affiliates for marketing or promotional purposes. All other use-case categories exclude text messaging originator opt-in data and consent; this information will not be shared with any third parties.

We implement reasonable administrative, technical, and organizational safeguards to protect personal information. However, you acknowledge that no method of transmission or storage is completely secure, and we cannot guarantee absolute security.

By using our services, you consent to the collection and use of your information as outlined in this Privacy Policy. This Privacy Policy may be updated periodically, and continued use of services constitutes acceptance of any changes.

Program Changes

The Cain Collective LLC reserves the right to modify, update, replace, restructure, or discontinue any aspect of its services, programs, offerings, content, schedules, delivery methods, facilitators, platforms, or materials at any time, as reasonably necessary to improve quality, reflect business needs, or adapt to operational or market conditions.

Such changes may include, but are not limited to, adjustments in program structure, session format, timelines, communication channels, curriculum, community platforms, or access methods.

Any modifications made will not materially reduce the overall value of the services purchased and do not entitle Clients to refunds, credits, or compensation.

The Company will make reasonable efforts to communicate material changes in advance when practicable.

Intellectual Property

All content, materials, frameworks, systems, methodologies, trainings, resources, templates, documents, videos, recordings, communications, and other intellectual property provided by The Cain Collective LLC—whether delivered through programs, services, agency support, communities, events, or digital platforms—are the exclusive property of The Cain Collective LLC unless otherwise expressly stated in writing.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use materials solely for your personal or internal business use in connection with the services purchased. This license does not grant any ownership rights.

You may not copy, reproduce, record, distribute, transmit, publish, sublicense, sell, resell, share, modify, reverse engineer, or create derivative works from any materials without the prior written consent of The Cain Collective LLC.

Unauthorized use, reproduction, or distribution of intellectual property may result in immediate termination of access to services and may subject you to legal action to protect the Company’s rights.

This intellectual property protection survives the completion or termination of your engagement with The Cain Collective LLC.

Indemnification

You agree to indemnify, defend, and hold harmless The Cain Collective LLC, its owners, officers, directors, employees, contractors, agents, and affiliates from and against any and all claims, demands, losses, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to:

Your participation in or use of any services, programs, communities, events, or materials provided by the Company

Your decisions, actions, implementations, or results arising from information, guidance, or services provided

Any breach of this Agreement by you

Any violation of applicable laws, regulations, or third-party rights

Any misuse, unauthorized use, or distribution of the Company’s intellectual property

You acknowledge that all actions taken during or after participation in services are undertaken voluntarily and at your own discretion and risk. The Company is not responsible for outcomes resulting from your decisions, business activities, financial actions, or implementations.

This indemnification obligation survives the completion, suspension, or termination of your engagement with The Cain Collective LLC.

Agreement Acceptance

By enrolling in, purchasing, accessing, or participating in any services, programs, communities, events, or offerings provided by The Cain Collective LLC, you acknowledge that you have read, understood, and agree to be bound by this Agreement, including all terms, policies, and conditions contained herein.

You further acknowledge that this Agreement constitutes a legally binding contract between you and The Cain Collective LLC, whether accepted electronically, through payment, through written agreement, or through continued participation in services.

If you do not agree to these terms, you must not access or use the Company’s services, programs, platforms, or materials.

Your participation confirms your acceptance of personal responsibility, professional boundaries, and the terms outlined above.

SMS Service Terms

By providing your mobile phone number and opting in, you consent to receive SMS (text) messages from The Cain Collective LLC related to programs, services, updates, scheduling notifications, reminders, and occasional promotional or marketing messages.

Description: Receive notifications, updates, reminders, and marketing messages related to The Cain Collective LLC programs, services, and offers.

Message frequency may vary. You will typically receive 1–4 messages per month, though frequency may increase during launches, events, or active service periods.

You may opt out of SMS messages at any time by replying “STOP” to +1 (218) 483-9112. Upon receipt of your opt-out request, we will confirm your unsubscribe status via SMS, and you will no longer receive messages unless you opt back in.

Standard message and data rates may apply for messages sent to you from us and from you to us. Message delivery is subject to carrier availability. Wireless carriers are not liable for delayed or undelivered messages.

By opting in, you acknowledge and agree to these SMS Service Terms.

Rescheduling & Cancellation Policy

Policy Summary

Please review this Rescheduling & Cancellation Policy carefully before scheduling or participating in any session, call, or service provided by The Cain Collective LLC.

Your access to and participation in services is conditioned upon your acceptance of and compliance with these terms.

Policy

All scheduled calls, sessions, and appointments are subject to the following terms:

Fees are non-refundable. Any booking or session fee paid is final, non-negotiable, and non-refundable.

Same-day rescheduling or cancellations (including failure to attend a scheduled session) will result in forfeiture of the session and, where applicable, may require payment of a rescheduling fee or rebooking fee as disclosed at the time of scheduling.

Rescheduling without penalty is permitted only if the request is submitted prior to the scheduled session date and confirmed through the Company’s designated scheduling system, subject to availability.

Rescheduled appointments must be booked within the timeframe specified at scheduling (or within the same calendar week, if applicable). Failure to do so may result in forfeiture of the session.

Multiple instances of rescheduling or cancellation (two or more occurrences) may result in denial of future bookings, revocation of scheduling privileges, or permanent restriction from future services at the Company’s discretion.

Failure to attend, arrive on time, or fully participate in a scheduled session does not constitute cancellation and does not relieve you of payment obligations.

The Company reserves the right to modify scheduling availability, session formats, or booking requirements at any time to ensure operational integrity and equitable access for all clients.
